    Do you wish your old 3ds's battery ran longer? Do u wish it would load up & download games faster? Do u want to see 3d more comfortably? Do u wish that miiverse wasnt so slow? Do u want an easier way to look around games with a camera? Do you want to play bigger games that wont ever be on 3ds? if its mostly 'yes' then its worth it. of course, u can just trade for it.
